1Acceptance of Terms

Welcome to Luexi Technology ("we", "us", or "our"). These Terms of Service ("Terms") constitute a legal agreement between you and Luexi Technology Co., Ltd. regarding your use of the Luexi Technology platform and related services.

By registering an account, authorizing Amazon SP-API access, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to any part of these Terms, please discontinue use of our services immediately.

2Description of Services

Luexi Technology provides SaaS tools and services for Amazon sellers, including data analytics, order management, inventory monitoring, financial reporting, and advertising analysis. Specific features depend on your subscription plan and what the platform currently offers.

Our services include:

• Syncing and displaying your seller data via the Amazon Selling Partner API (SP-API)
• Generating sales, profit, inventory, and other business reports and analytics
• Providing alerts for low inventory, order anomalies, and similar events
• Other features published on our website or within the product

We reserve the right to adjust, upgrade, or suspend certain features without prior notice, while striving to maintain the stability of core services. Service interruptions caused by Amazon API changes, system maintenance, or force majeure will be communicated promptly, and we will work to restore service as quickly as possible.

3Account Registration & Security

Eligibility

• You must be a natural person with full legal capacity, or a legally established and valid business entity
• You must hold a legitimate Amazon seller account and have the right to authorize us to access related data
• Information you provide must be true, accurate, complete, and kept up to date

Account Security

• You are responsible for safeguarding your account password and API authorization credentials; do not share them with others
• You bear responsibility for any unauthorized use resulting from your failure to protect account credentials
• If you detect unusual account activity, contact us immediately and change your password

4Acceptable Use

When using Luexi Technology services, you agree to:

• Comply with applicable laws and regulations, as well as Amazon platform policies
• Not use the services for any unlawful, fraudulent, or harmful activity
• Not attempt unauthorized access to our systems, other users' data, or the Amazon API
• Not reverse engineer, decompile, scrape, or interfere with the normal operation of the platform
• Not use data obtained through the services for purposes outside those permitted by these Terms and our Privacy Policy
• Not transfer, lend, or sell your account to any third party

5Amazon API & Third-Party Services

Luexi Technology accesses your seller data through the Amazon SP-API. This process is subject to Amazon's Developer Agreement, SP-API Terms of Use, and Buyer Data Protection Policy.

• The scope of data we access is determined by the permissions you confirm in Amazon Seller Central
• You may revoke authorization at any time in Seller Central; we will cease access and delete related data within 30 days
• We are not responsible for Amazon API availability, data accuracy, or changes to Amazon platform policies
• The services may integrate third-party payment, cloud storage, or other services governed by their respective terms

6Intellectual Property

All content on the Luexi Technology platform — including software, interface design, text, charts, logos, and technical documentation — is protected by copyright, trademark, and other intellectual property laws and belongs to Luexi Technology or its licensors.

• We grant you a limited, non-exclusive, non-transferable license to use the services solely within the scope of these Terms
• Business data you upload or generate through the services (such as exported reports) belongs to you
• You may not copy, modify, distribute, or commercially exploit any part of the platform without our written consent

7Payment & Subscription

Certain features may require a paid subscription. Pricing, billing cycles, and feature scope are as stated on our pricing page or order confirmation.

• Payment: You must pay fees on time using the agreed method; overdue payment may result in service suspension
• Renewal: We will remind you before subscription expiry via email or in-platform notification; failure to renew may result in downgrade or service termination
• Refunds: Except as required by law or explicitly stated by us, fees paid are generally non-refundable
• Price Changes: We reserve the right to adjust pricing, effective in the next billing cycle with advance notice

8Service Changes & Termination

Termination by You

You may cancel your account at any time through platform settings or by contacting support. Please export any data you need before cancellation; after account deletion, we will remove your data according to our Privacy Policy.

Termination by Us

We may suspend or terminate your access without liability in the following circumstances:

• You violate these Terms or applicable laws
• Your account has been inactive for more than 12 months
• We need to discontinue services due to business adjustments, technical upgrades, or regulatory requirements
• You fail to pay outstanding fees for more than 30 days

9Disclaimer

Luexi Technology services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no express or implied warranties regarding:

• Uninterrupted, error-free, or completely secure service
• The accuracy, completeness, or timeliness of data, reports, or analytics obtained through the services
• Achievement of specific business goals or revenue through use of the services
• Continued availability of the Amazon API or third-party services

You understand and agree that business decisions based on service data are made at your own discretion and risk. Our analytics tools are for reference only and do not constitute financial, legal, or investment advice.

10Limitation of Liability

To the maximum extent permitted by law, Luexi Technology and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, data loss, or business interruption) arising from use or inability to use the services.

In no event shall our total liability to you exceed the total service fees you paid to us in the 12 months preceding the event giving rise to the claim, or RMB 1,000, whichever is greater.

The above limitations do not apply to damages caused by our willful misconduct or gross negligence, or to liabilities that cannot be excluded under applicable law.

11Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China (excluding conflict of law rules).

Any dispute arising from or relating to these Terms shall first be resolved through good-faith negotiation. If negotiation fails, either party may bring an action before the competent people's court in Nanhai District, Foshan City, Guangdong Province, where Luexi Technology is located.

12Changes to These Terms

We may revise these Terms from time to time. When material changes occur, we will notify you by:

• Posting an announcement within the platform
• Sending a notification to your registered email address
• Updating the "Last Updated" date at the top of this page

Continued use after the effective date of changes constitutes acceptance of the revised Terms. If you disagree, please stop using the services and cancel your account.
